Hugh is a city trained company and commercial lawyer with over 20 years’ experience acting for clients across the business spectrum. He advises on a wide range of company and commercial matters, including:
- Buying and selling companies and businesses
- Shareholders and joint venture agreements
- Standard terms of business
- Commercial agreements
Hugh has a background working in a major London law firm and has spent four years practicing law in the Middle East. Hugh was recently head of the company and commercial group in a leading Hertfordshire law firm.
Hugh has recently worked on the following matters:
- advising a European client on the £5.2 Million (plus earnout) share purchase of a UK based business supply company;
- advising a client on a section 110 group reconstruction separating its trading and property owning subsidiaries into two discretely owned companies, and on its subsequent £3.5 Million merger with another company;
- advising the purchaser in a £4.2 Million share purchase of two mobile phone franchisees;
- advising the management team on a £3.6 Million share purchase of a consultancy services company in consideration of cash, shares and loan notes;
- advising a client on the amendment of a shareholders agreement and articles of association relating to a hedge fund;
- advising the purchaser in the £1.6 Million share purchase of an IT company;
- advising an Asian purchaser in the £1.25 Million (plus earn out) share purchase of a UK manufacturing company and subsequently putting together and leading a team carrying out due diligence on the client’s UK subsidiaries as part of the global due diligence required in connection with its proposed offshore flotation;
- acting for the seller of the shares in a components manufacturer to an international conglomerate for £1.9 million;
- acting for the seller of the shares in an advertising agency in a management buy out for £2 million, plus earn out; and
- setting up a joint venture with 15 international shareholders relating to the creation of a global marketing brand
